Swisscom AG was established in its present form on January 1, 1998, following a separation of the state-owned postal and telecommunications businesses into autonomous operations. This transformation coincided with the liberalisation of the Swiss telecommunications market during the beginning of 1998, which saw the first true alternative network operators begin to compete with Swisscom.
Swisscom is the state-controlled incumbent fixed-line and mobile communications operator of Switzerland. It also owns an extensive network of mobile communications service providers and resellers in Europe, and operates an international fixed-line network with points of presence (PoPs) in several key European population and business centres. Swisscom's mobile communications business was spun off into a joint-venture company known as Swisscom Mobile in January 2001. Swisscom owns 75% of Swisscom Mobile, while Vodafone of the UK owns 25%. Swisscom operates through five segments -- Fixnet, Mobile, Solutions, Other, and Corporate.
On December 22, 2004, Swisscom completed a share buy-back scheme in which it repurchased shares in an aggregate amount of CHF2,000 million representing 7.13% of its share capital. As a result, Swisscom’s share capital was reduced accordingly.
As of March 31, 2005, the Swiss Confederation owned 62.7% of Swisscom’s total shares, and other shareholders, including Capital Group Companies Inc, held the remaining 37.3%. At the end of March 2005, Swisscom had 65,636 registered shareholders and an average non-allotted share level of approximately 17%.
