TeliaSonera AB was created in December 2002, through the merger of Sweden's Telia and Finland's Sonera, creating the leading telecommunications group in the Nordic and Baltic regions. The company operates under the Telia brand in Sweden and Denmark, under the Sonera brand in Finland, and under the NetCom brand in Norway. In the Baltic region, TeliaSonera operates through subsidiaries and associate companies.
As of June 2004, the Swedish state owned 45.3% of TeliaSonera's share capital, the Finnish state owned 19.1%, while shareholders outside Sweden and Finland owned 5.9%. The company is listed on the Stockholm and Helsinki Stock Exchanges. In December 2004, the Finnish State sold 250 million shares in TeliaSonera for total proceeds of approximately €1,123 million before fees and commissions. The State's ownership interest in TeliaSonera subsequent to the sale amounted to approximately 13.8%. The shares were sold to international and Nordic institutional investors through an accelerated bookbuilt offering.
TeliaSonera has extensive holdings in mobile operating companies across the Nordic and Baltic regions, and in Russia and certain other Commonwealth of Independent States (CIS) countries.
TeliaSonera's mobile interests were essentially held by three groups: Telia Mobile, which was responsible for Telia AB's interests in mobile operations in the Nordic region, the Baltic States, and Russia, as well as for the development of integrated fixed/mobile services; Sonera Mobile Finland, which was responsible for Sonera's GSM mobile operation in Finland; and, Sonera Mobile International, which was responsible for Sonera's interests in mobile operations in Turkey, Azerbaijan, Georgia, Kazakhstan, Moldova, Lithuania, Estonia, and Russia, as well as its interests in UMTS licensees in Germany, Spain, and Italy.
