Avaya Inc was formed in September 2000 as a result of the spin-off, by Lucent Technologies, of its PBX, SYSTIMAX structured cabling and LAN-based data businesses to shareowners, forming a separate company that would focus directly and independently on the enterprise networking market. The new company started out with an US$8 billion business and a customer list that included more than 90% of Fortune 500 companies.

Avaya comprised Lucent's core switching business for enterprises, including DEFINITY IP Solutions; the IP Exchange System for IP networks; call centre solutions, including Internet call centre technology; Octel enterprise voice messaging platforms, including the Unified Messenger platform and Intuity AUDIX; the Cajun campus LAN infrastructure portfolio; conferencing and collaboration systems; SYSTIMAX structured cabling systems; and installation, maintenance and remote management services.

Today, Avaya is a leading provider of communications solutions, comprised of equipment hardware, software and services that help enterprises transform their businesses by redefining the way they work and interact with their customers, employees, business partners, suppliers, and others. The company's product offers include: IP telephony solutions; multimedia contact centre infrastructure and applications; unified communications applications, which include voice and multimedia messaging; appliances, such as telephone sets; and, traditional voice communication systems.

Avaya's portfolio of services offerings include: value-added maintenance services; professional services, consulting, design and network integration; product implementation; and, managed services.

The shares of Avaya Common Stock are listed on the New York Stock Exchange. As of December 13, 2005, there were approximately 893,756 registered holders of the company's Common Stock.
